Adnine Terms of Service

1. Introduction

Welcome to Adnine. These Terms of Service ("Terms") govern your access to and use of the Adnine platform, including our website, services, and applications (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy.

Please read these Terms carefully before using our Service. If you do not agree to these Terms, you may not access or use the Service.

2. Definitions

"Account" means a unique account created for you to access our Service.

"Company", "We", "Us", or "Our" refers to Adnine.

"Content" refers to text, images, videos, audio, or other material that can be accessed through the Service.

"Personal Data" is any information that relates to an identified or identifiable individual.

"Service" refers to the Adnine application, website, and services.

"Third-party Service" means any service or content provided by a third party that may be displayed, included, or made available by the Service.

"You" means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

3. Account Registration

3.1 Account Creation

To use certain features of the Service, you must register for an account. When you register, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure.

3.2 Google Account Authentication

Our Service allows you to register and log in using your Google account. By using Google authentication, you authorize us to access certain information from your Google account as outlined in our Privacy Policy. This access is subject to Google's terms and policies.

3.3 Account Security

You must immediately notify us of any unauthorized use of your account or any other breach of security. Adnine will not be liable for any loss or damage arising from your failure to comply with this section.

3.4 Team Account Management

If you are using Adnine on behalf of an organization, you may invite team members to access the Service through your account. You are responsible for all actions taken by your team members and must ensure they comply with these Terms.

4. Service Description

4.1 Service Overview

Adnine provides a platform for optimizing and analyzing Google Ads campaigns and Google Search Console data. Our Service includes tools for campaign monitoring, performance analysis, and optimization recommendations.

4.2 Service Modifications

We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. We shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

5. Subscription and Billing

5.1 Subscription Plans

Adnine offers various subscription plans based on your advertising spend levels:

Free: €0/month

  • For advertisers under €3,000 monthly spend

  • Supports a single account

  • Includes all features

  • Daily limit for AI functionality

Starter: €100/month

  • For advertisers between €3,000 and €20,000 monthly spend

  • Supports multiple accounts/MCC

  • Includes all features

  • Support within 48 hours

  • Daily limit for AI functionality

Scale: €200/month

  • For advertisers between €20,000 and €50,000 monthly spend

  • Supports multiple accounts/MCC

  • Includes all features

  • Support within 48 hours

  • Daily limit for AI functionality

Pro: €300/month

  • For advertisers between €50,000 and €100,000 monthly spend

  • Supports multiple accounts/MCC

  • Includes all features

  • Support within 24 hours

  • 2 onboarding sessions

  • Unlimited AI functionality

Enterprise: €500/month

  • For advertisers that spend up to €300,000 per month

  • Supports multiple accounts/MCC

  • Includes all features

  • Support within 24 hours

  • 3 onboarding sessions & account manager

  • Unlimited AI functionality

Non-profits: €0/month

  • Any verified non-profit can use Adnine completely for free

  • Supports multiple accounts/MCC

  • Includes all features

  • Support within 24 hours

  • Daily limit on AI functionality

5.2 Billing

By subscribing to a paid plan, you agree to pay all fees associated with your subscription. All payments are processed securely through Stripe. Fees are billed monthly in advance and are non-refundable except as expressly provided in these Terms.

5.3 Recurring Billing

For subscription plans, your payment method will be charged automatically at the beginning of each monthly billing period. By subscribing, you authorize us to charge your payment method for each billing period until your subscription is canceled.

5.4 Free Trial

We may offer a free trial for a limited period. At the end of the trial period, your account will automatically convert to the appropriate paid subscription based on your ad spend unless you cancel before the trial period ends.

5.5 Cancellation

You may cancel your subscription at any time through your account settings or by contacting our support team. Upon cancellation, your subscription will remain active until the end of the current billing period.

5.6 Price Changes

We may update our pricing from time to time. When we do, we'll notify you at least 30 days before the changes take effect. If you continue using the Service after the price change becomes effective, you agree to pay the new fees.

5.7 Payment Issues

If we're unable to process your payment or if payment is overdue, we may suspend your access to paid features after providing you with written notice. Your access will be restored once payment is successfully processed.

5.8 Fair Use Policy

Our "unlimited AI functionality" plans are subject to fair use guidelines. While we don't impose strict daily limits on these plans, the AI features are intended for reasonable business use in optimizing and analyzing your advertising campaigns. We reserve the right to monitor usage patterns and may implement reasonable restrictions if we detect automated, excessive, or abusive use that could impact service quality for other users. We'll contact you before implementing any restrictions to discuss your usage needs.

6. Privacy and Data Protection

6.1 Data Processing

We process your personal data in accordance with our Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR). We only collect and process the personal data necessary to provide you with our Service.

6.2 Your Data Rights

You have rights regarding your personal data, including the right to access, correct, or delete your information. For more details about how we handle your data and your rights, please review our Privacy Policy.

6.3 Data Export

Upon termination of your account, you may download your data for a limited period before it is permanently deleted from our systems. We'll provide you with reasonable notice and instructions for data export.

6.4 Anonymous Usage Data

We may use aggregated and anonymized data derived from your use of the Service for improving our platform, conducting industry analysis, and other business purposes. This data will never identify you or your organization.

7. Confidentiality

7.1 Protecting Your Information

We understand that your business information is valuable and confidential. We will take reasonable measures to protect any confidential information you share with us while using our Service.

7.2 What We Consider Confidential

Confidential information includes your advertising data, business metrics, account information, and any other non-public business information you share with us through the Service.

7.3 Public Disclosure Requirements

If we are legally required to disclose any of your confidential information, we will notify you promptly so you can seek appropriate legal protection.

8. Marketing and Publicity

8.1 Using Your Name and Logo

You allow us to include your company name and logo in our marketing materials, website, and client lists, unless you specifically ask us not to. You can opt out of this at any time by contacting us.

8.2 Professional Conduct

Both you and we agree not to make any public statements that could harm the other party's reputation during our business relationship and afterward.

9. User Responsibilities

9.1 Compliance with Terms

You agree to use the Service in compliance with these Terms and all applicable laws and regulations.

9.2 Prohibited Activities

You agree not to:

  • Use the Service in any way that violates any applicable law or regulation

  • Attempt to gain unauthorized access to the Service or related systems

  • Interfere with or disrupt the integrity or performance of the Service

  • Attempt to reverse engineer, disassemble, or decompile any aspect of the Service

  • Use the Service for any harmful, fraudulent, or illegal purpose

  • Use automated systems, including "robots," "spiders," or "offline readers," to access the Service

  • Transmit any viruses, malware, or other harmful code

  • Collect or harvest any personally identifiable information from the Service

  • Impersonate any person or entity or misrepresent your affiliation with a person or entity

9.3 Google Services Limitations

When using features that integrate with Google services, you agree to comply with all applicable Google terms and policies, including the Google API Services User Data Policy. You acknowledge that your access to Google services through our platform may be revoked by Google at any time.

9.4 Responsibility for Account Modifications

You acknowledge and agree that you are solely responsible for any and all changes made to your Google Ads account, Google Search Console account, or any other connected third-party accounts through the use of Adnine's Service. This responsibility includes, but is not limited to:

  • All modifications, optimizations, or adjustments made to your advertising campaigns

  • Any financial impact resulting from changes to bids, budgets, keywords, or campaign settings

  • All consequences, whether intended or unintended, arising from the implementation of recommendations or automated actions

9.5 Testing and Preview Features

Adnine provides various testing and preview features, including but not limited to:

  • Dry run functionality

  • Preview modes

  • Suggestions mode

You are strongly encouraged to utilize these testing features before implementing any changes to your live accounts. However, the availability of these features does not transfer responsibility for account changes from you to Adnine.

9.6 Disclaimer of Responsibility

Adnine expressly disclaims any responsibility or liability for:

  • Changes made to your accounts, whether executed manually by you or through automated features

  • Any financial losses, reduced performance, or other negative outcomes resulting from account modifications

  • The accuracy or effectiveness of recommendations, suggestions, or automated optimizations

  • Any unintended consequences arising from the use of our Service

By using Adnine, you acknowledge that you have the knowledge and authority to make decisions regarding your advertising accounts and that you assume full responsibility for all actions taken through our platform.

10. Intellectual Property

10.1 Our Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Adnine and its licensors. The Service is protected by copyright, trademark, and other laws of both the Netherlands and foreign countries.

10.2 Your Content

By submitting content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content in connection with providing the Service to you.

10.3 Feedback

If you provide us with any feedback or suggestions regarding the Service, you assign to us all rights in such feedback and agree that we shall have the right to use such feedback in any manner we deem appropriate.

11. Third-Party Services

11.1 Third-Party Links and Services

Our Service may contain links to third-party websites or services that are not owned or controlled by Adnine. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Adnine shall not be responsible or liable for any damage or loss caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such websites or services.

11.2 Google Services Integration

Our Service integrates with Google Ads and Google Search Console. Your use of these integrations is subject to Google's applicable terms of service, and we are not responsible for any changes, interruptions, or discontinuation of these services by Google.

12. Limitation of Liability

12.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ADNINE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE.

12.3 Cap on Liability

IN NO EVENT SHALL ADNINE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICE DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

12.4 Force Majeure

Neither party will be liable for any failure or delay in performance under these Terms due to events beyond their reasonable control, including but not limited to acts of God, natural disasters, terrorism, riots, or government actions. We'll notify you promptly of any such events and use reasonable efforts to minimize their impact.

12.5 Damage Mitigation

You must take reasonable steps to minimize any damages and notify us within thirty (30) days of discovering any issues that might lead to a claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless Adnine, its affiliates, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any intellectual property right, privacy right, or publicity right; or (iv) any claim that your content caused damage to a third party. However, our total liability under this section is limited to the fees you paid us in the twelve months prior to the claim.

14. Term and Termination

14.1 Term

These Terms shall remain in full force and effect while you use the Service.

14.2 Termination by You

You may terminate your account at any time, for any reason, by following the instructions in your account settings or by contacting our support team.

14.3 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

14.4 Effect of Termination

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14.5 Data Access After Termination

Following termination, you'll have a limited time to download your data before it's permanently deleted from our systems. We'll provide reasonable notice and instructions for data export.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

16.2 Dispute Resolution

Any dispute arising out of or relating to these Terms, or your access to or use of the Service, shall be resolved through the competent courts in Amsterdam, the Netherlands.

17. Miscellaneous

17.1 Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

17.2 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by Adnine on the Service, constitute the entire agreement between you and Adnine concerning the Service and supersede all prior agreements and understandings, whether written or oral, regarding the Service.

17.3 Assignment

You may not assign or transfer these Terms or your account to any third party without our prior written consent.

17.4 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Adnine.

18. User Guidelines

When multiple users access Adnine through your account or organization, you're responsible for ensuring they follow these guidelines. All users must not:

Content and Behavior:

  • Upload or share any content that violates intellectual property rights or breaks the law

  • Share false, misleading, or inaccurate information through the platform

  • Use the Service for spam, unauthorized marketing, or bulk communications

  • Include personal identification documents or sensitive financial data

  • Impersonate other people or organizations

Technical Restrictions:

  • Attempt to hack, disrupt, or damage our systems

  • Use automated tools to scrape or crawl our platform without permission

  • Try to bypass our security measures or access restrictions

  • Copy, modify, or reverse-engineer our software

  • Resell or redistribute access to Adnine

Account Misuse:

  • Share login credentials with unauthorized users

  • Use the Service in ways that could harm our systems or other users

  • Send unsolicited messages through our platform

  • Engage in any commercial activities without our written permission

Your Responsibility: As the account holder, you're responsible for all users' actions on Adnine. If any user violates these guidelines, we may suspend or terminate your entire account. You agree to compensate us for any costs or damages resulting from users' misuse of the Service.

Enforcement: We reserve the right to remove users or suspend accounts that violate these guidelines. We'll try to work with you to resolve issues, but serious violations may result in immediate account termination.
